Terms and Conditions of Hire

These Terms and Conditions of Hire outline the rights and obligations of the Hirer and the Company in relation to the rental of equipment from KitchenRentals.co.uk, a subsidiary of Grey Simmonds FoodService Equipment Ltd.
1. Interpretation
In these Terms and Conditions, the following definitions apply:
- Additional Charges – Any additional fees payable by the Hirer.
- Business Day – Any day other than a weekend or public holiday in England.
- Commencement Date – The date specified in the Hire Terms Sheet.
- Delivery – Transfer of physical possession of the Equipment to the Hirer.
- Equipment – The hired items as described in the Hire Terms Sheet.
- Rental Payments – Fees payable for the rental and maintenance of the Equipment.
- Risk Period – The period during which the Equipment is at the Hirer’s sole risk.
- Total Loss – When the Equipment is lost, stolen, or damaged beyond repair.
2. Equipment Hire
The Company agrees to provide the Equipment for hire, subject to these Terms and Conditions. The Hirer has the right to possess and use the Equipment, subject to this Agreement.
3. Rental Period & Term of Agreement
The Minimum Rental Period starts on the Commencement Date and continues unless terminated under clause 12 or 14.
4. Rental Payments & Additional Charges
- Payments must be made as outlined in the Hire Terms Sheet.
- Late payments incur interest at 5% per year above HSBC Bank PLC’s base rate.
- A refundable Deposit is required unless the Equipment is damaged or payments are overdue.
5. Delivery & Installation
- The Company will arrange for Delivery, but exact dates are estimates.
- The Hirer must ensure appropriate access for Delivery and collection.
- Upon Delivery, the Hirer’s representative must inspect and accept the Equipment.
6. Title, Risk & Insurance
- The Equipment remains the property of the Company at all times.
- The Hirer assumes full responsibility from Delivery until return.
- The Hirer must insure the Equipment for its full replacement value.
7. Maintenance & Support
- The Company provides Maintenance Services as outlined in the Hire Terms Sheet.
- Maintenance includes Routine Maintenance (inspections) and Corrective Maintenance (repairs).
- If Equipment is beyond repair, the Company may replace or terminate the hire.
8. Hirer’s Responsibilities
- Use the Equipment according to manufacturer guidelines.
- Maintain and clean the Equipment regularly.
- Notify the Company immediately of any faults.
- Not modify, move, or repair the Equipment without consent.
9. Warranty & Liability
- The Company warrants the Equipment will be in Good Working Order upon Delivery.
- The Company is not liable for damages caused by misuse, power failures, or unapproved consumables.
- The Company’s liability is limited to the total Rental Payments made or £6,000, whichever is higher.
10. Termination
- The Company may terminate the Agreement with three months’ written notice.
- Immediate termination may occur if the Hirer fails to pay within 14 days of notice.
- The Hirer may terminate after the Minimum Rental Period with three months’ written notice.
11. Consequences of Termination
- The Hirer must return the Equipment or grant the Company access for collection.
- The Deposit may be used to cover unpaid fees or damages.
12. Confidentiality & Data Protection
Both parties agree to keep business-sensitive information confidential. The Company will process personal data in accordance with UK data protection laws.
13. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control. If force majeure lasts over 30 days, either party may terminate with four weeks’ notice.
14. Governing Law & Jurisdiction
This Agreement is governed by the laws of England and Wales. Any disputes shall be settled in the courts of England and Wales.
